1. Chance to Shine Foundation
Chance to Shine Foundation is a cricket charity whose mission it is to give every young person the opportunity to play, learn and develop through cricket. We want them to learn a love of the game and, in doing so, develop their wider wellbeing. We do this by creating opportunities to play, learn and develop. We have two core programmes – Chance to Shine Schools (ages 5–16) and Street (ages 8-24) which support over half a million children every year.
Chance to Shine coaches inspire children and teachers in thousands of state schools and disadvantaged communities. We work with half a million children each year – nearly half of them are girls.
Street cricket sessions are fast, fun and loud. They take place in the heart of communities all across the country, anywhere from a housing estate to a sports hall – and all year round.
We’re really passionate about what we do but we’re ambitious and we want to do more.
The Chance to Shine Board of Trustees offer a wealth of expertise, guidance and support to ensure that as a charity we strive to be the best organisation we can be and that we provide high-quality support via cricket for children and young people. It is an exciting time for new trustees to contribute towards the future of this successful charity.

We welcome applications from interested individuals from all backgrounds. In particular, Chance to Shine trustees have identified that the skill set of the Board would benefit from individuals with expertise in State Sector Education and/or grassroots cricket and its ability to change lives.

2. Purpose of the Role
The role of Trustee will be to provide support, guidance and expertise to the Chance to Shine Board and its sub committees of Audit and Risk, Governance and Remuneration and Investment, as well as its Development and County Advisory Boards.

3. Time requirements
The Chance to Shine Board meets formally four times per year, usually in January, April, July and September. Meetings are usually 2hrs, held on Mondays in London from 4pm onwards. In between meetings individual board members provide advice and support to the executive team where required.
In addition to meetings, there are opportunities for trustees to attend and be involved in year-round activities such as gala dinners, school or street project visits and the annual awards ceremony.

4. Skills, knowledge and experience
Trustees should be able to demonstrate experience or connections in one or more of the following fields:
• Strategy
• Audit, finance and investment
• Fundraising and commercial
• Links to cricket, County Cricket Boards, clubs and cricket networks
• Education and youth experience
• Health
• Delivery and operations
• Organisation and HR
• Governance and legal
• Government relations
• Social inclusion
• Communications, Marketing, Campaigning
• Digital
• Charity Sector Experience
In particular through this appointment, we are seeking a Trustee(s) who will bring one or all of the following skills and experience:
• Deep understanding of state school education, particularly the challenges and opportunities that schools face to develop the ‘whole child’. Experience and understanding of the important role that High Quality Physical Education plays within the national curriculum. An appreciation of Ofsted and other organisations which directly influence a school’s educational and wellbeing strategy.
• Exposure to, and experience of, cricket/sport’s ability to engage, inspire and develop children and young
people.

5. Principal Responsibilities – further information
Being a trustee is not a passive role – it requires the exercise of powers and the fulfilment of duties. Powers and duties complement each other, in that for example the power to spend Chance to Shine’s money is matched by the duty of the trustees to spend the money wisely. Set out below are a number of different aspects of the trustees’ role, together with a few general comments:
1. Each trustee of Chance to Shine has a dual set of responsibilities. The first of these arises by virtue of the fact that the trustees are directors of a limited company and so are subject to the obligations set out, for example, in the Companies Act 2006. The second set of responsibilities arises from the fact that the trustees are also trustees of a charity and so are subject to a further set of rules relating to charities and how they should be managed. The dual roles of trustee and director are not mutually exclusive, but complement each other.
2. As directors of a company, the trustees must comply with the following duties:
• To act within the powers they are given by law and the company’s rules set out in the articles of association
• To promote the success of the company
• To exercise independent judgement and avoid conflicts of interest, while not accepting benefits from third parties
• To exercise reasonable care, skill and diligence in the performance of their role (explained in more detail below)
• Keep company records and report changes to Companies House and HM Revenue and Customs (HMRC).
• Make sure the company’s accounts give a ‘true and fair view’ of the business’ finances.
• Ensure tax and other legal obligations of the company are met.
3. They must have regard to the likely consequences of any decision, the interests of employees, the need to foster relationships with third-parties, the impact of operations on the community and the environment. They must maintain a high reputation for Chance to Shine and must act fairly.
4. Each trustee should be aware of the aims and objectives of the charity. The overall aims and objectives of Chance to Shine, as set out in its Memorandum and Articles are:
• The organisation and provision of facilities to enable cricket (or other sports) to be played by young people in any part of the British Isles.
• The organisation and provision of facilities for recreation in the interests of social welfare and the furtherance of education in any part of the UK, for persons who have need of such facilities by reason of their youth, age, infirmity or disablement, poverty or social and economic circumstances.
More specific aims set out in Chance to Shine’s strategy should be consistent with the aims set out in Chance to Shine’s governing documents, as above. Chance to Shine’s activities are not necessarily confined to its existing programmes, and so the trustees should be considering the extent to which, if at all, other activities should be pursued.
5. Trustees have and must accept ultimate responsibility for directing the affairs of Chance to Shine, and ensuring that it is solvent, well-run, and delivering the charitable outcomes for the benefit of the public for which it has been set up, as set out in section 4 above.
6. Trustees are responsible for ensuring Chance to Shine complies with charity law, and with the requirements of the Charity Commission as a regulator; in particular that the charity prepares reports on what it has achieved and Annual Returns and accounts as required by law.
7. A trustee may not profit from the role as trustee. Any personal gifts or benefits-in-kind received by a trustee must be disclosed to the trustee body (or at the very least, to the Chairman) and, if they are of more than a nominal kind, should be repaid or returned.
8. A trustee should not be in a position where there is a conflict of interest between the role of trustee/director on the one hand and relations with external people or bodies on the other hand.
9. A trustee should exercise the reasonable knowledge, skills and diligence reasonably expected of someone in their position and bring to bear their own personal knowledge and experience. A trustee who is not able to devote sufficient time to the affairs of Chance to Shine should not act as a trustee, because he or she will simply be unable to fulfil the necessary trustee duties satisfactorily.
10. Each trustee of Chance to Shine can act for an initial term not exceeding three years. Thereafter, the trustee must retire unless re-appointed as a trustee. A trustee can be reappointed twice to act.
